1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "User") and Jazoodle Pty Ltd (ACN 607 642 259), trading as Advisorli, ABN 67 607 642 259 ("we", "us", "our", "Advisorli"), governing your access to and use of the Advisorli platform, website at advisorli.com, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Advisorli provides a business intelligence and advisory platform that includes:

• Financial data analysis and visualisation
• Business valuation tools and methodologies
• AI-powered recommendations and insights
• Integration with accounting software (Xero, QuickBooks, Sage, MYOB, Reckon)
• AI Business Coach for personalised guidance
• Board pack generation and reporting
• Benchmarking against industry data

5. Subscriptions and Payment

5.1 Subscription Plans

We offer various subscription plans as detailed on our Pricing page. Features and limits vary by plan. We reserve the right to modify plans and pricing with 30 days' notice.

5.2 Payment Terms

Payment is processed through Stripe. By subscribing, you agree to:

• Pay all applicable fees in advance on a monthly or annual basis
• Provide valid payment information and authorise recurring charges
• Pay all applicable taxes and charges

5.3 Refund Policy

All subscription payments are non-refundable. When you cancel a subscription, you will retain access to paid features until the end of your current billing period. No partial refunds or credits are provided for unused time.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We may cancel or suspend your subscription for violation of these Terms.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload false, misleading, or fraudulent information
• Attempt to gain unauthorised access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to access the Service without permission
• Transmit viruses, malware, or other harmful code
• Harass, abuse, or harm other users
• Use the Service for money laundering or other financial crimes
• Resell or redistribute the Service without authorisation

7. Intellectual Property Rights

You retain ownership of all data and content you upload to the Service ("Your Data"). By using the Service, you grant us a limited licence to process Your Data solely to provide and improve the Service. We do not claim ownership of Your Data and will not use it for purposes unrelated to the Service without your consent.

7.3 AI-Generated Content

Reports, recommendations, and insights generated by our AI features are provided for your use. You may use such outputs for your business purposes, but we make no warranty regarding their accuracy or completeness.

8. Third-Party Integrations

The Service integrates with third-party platforms including Xero, QuickBooks, Sage, MYOB, Reckon, and Google Analytics. Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for third-party services, and you authorise data sharing necessary for the integration to function.

9. Disclaimers and Limitations

9.1 No Professional Advice

THE SERVICE IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. Nothing in the Service constitutes financial, investment, legal, tax, or accounting advice. Valuations, forecasts, and recommendations are estimates based on the data you provide and should not be relied upon as definitive. Always consult qualified professionals before making significant business decisions.

9.2 Service Availability

We strive to provide continuous service but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

9.3 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Exclusion of Consequential Damages: We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.
• Cap on Liability: Our total liability to you for any claims arising from these Terms or the Service shall not exceed the greater of (a) the fees you paid to us in the 12 months preceding the claim, or (b) AUD $100.
• Essential Purpose: These limitations apply even if a remedy fails of its essential purpose.

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Advisorli and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any data or content you submit to the Service

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service ceases immediately
• You may export your data before termination takes effect where possible
• Provisions that by their nature should survive will remain in effect (including intellectual property, disclaimers, limitation of liability, and dispute resolution)

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law principles.

13.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia, for resolution of any disputes arising from these Terms or the Service.

13.3 Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve disputes informally by contacting us at admin@advisorli.com. We will endeavour to resolve complaints within 30 days.

13.4 Consumer Rights

Nothing in these Terms excludes or limits consumer rights that cannot be excluded under applicable law, including the Australian Consumer Law.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Advisorli regarding the Service and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
